Terms and Conditions

Please read these Terms and Conditions carefully before using Freehold.Pro. By creating an account or using our platform, you confirm that you have read, understood, and agreed to be bound by these terms. If you do not agree, you must not use our platform.

The Platform

Freehold.Pro is a software platform designed to assist share of freehold owners, Right to Manage (RTM) companies, Residents' Management Companies (RMCs), leaseholders, and managing agents in organising and managing their buildings.

Freehold.Pro provides tools for communication, document storage, financial tracking, compliance management, and maintenance coordination. We are a software provider only. We do not provide legal, financial, surveying, or property management advice. Nothing on the platform constitutes professional advice of any kind.

Users are solely responsible for the management decisions they make in relation to their buildings, for ensuring their compliance with applicable law, and for verifying the accuracy of any information they upload or rely upon through the platform.

Eligibility and Account Registration

By registering for an account, you confirm that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into a binding agreement
  • All information you provide during registration is accurate and complete
  • You will keep your account credentials secure and not share them with others
  • You will notify us immediately at legal@freehold.pro if you suspect any unauthorised use of your account

Accounts are personal to the individual registered. You may not transfer your account to another person without our prior written consent.

Acceptable Use

You agree to use Freehold.Pro only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

  • Upload or share any content that is unlawful, defamatory, fraudulent, or misleading
  • Use the platform to harass, threaten, or harm any other user
  • Attempt to gain unauthorised access to any part of the platform or another user's account
  • Reverse engineer, copy, or reproduce any part of the platform without our written consent
  • Use automated tools, bots, or scripts to access or scrape the platform
  • Upload content that infringes any third party intellectual property rights
  • Use the platform to store or transmit malicious software or harmful code

We reserve the right to investigate any suspected breach of these terms and to take appropriate action, including removal of content and suspension or termination of accounts.

Your Content

You retain ownership of all documents, data, and content you upload to Freehold.Pro. By uploading content, you grant Freehold.Pro Limited a limited, non-exclusive licence to store, process, and display that content solely for the purpose of providing the platform services to you.

You are solely responsible for ensuring that any content you upload is accurate, lawful, and that you have the right to share it. You must not upload content that contains personal data relating to third parties unless you have a lawful basis for doing so under applicable data protection law.

We may use anonymised and aggregated data — meaning data from which no individual or building can be identified — to analyse how the platform is used and to improve our features and services. We will never use identifiable content that you upload, including documents, financial records, or resident information, for any purpose other than delivering the platform services to you.

We do not review content uploaded by users and we are not responsible for any content uploaded by you or other users of your building.

Pricing, Free Access, and Future Paid Plans

Freehold.Pro is currently available free of charge to all registered users. We intend to introduce paid subscription plans in the future. When paid plans are introduced:

  • We will give existing users reasonable advance notice before any charges apply
  • You will not be charged without your explicit agreement to a paid plan
  • Free tier access may continue to be available with reduced features at our discretion
  • Paid plans will be subject to additional pricing terms which will be presented to you at the time of subscription

We reserve the right to introduce, amend, or discontinue pricing tiers at any time, subject to providing reasonable notice to users. Continued use of the platform following any pricing change constitutes acceptance of the updated terms.

Intellectual Property

All intellectual property rights in the Freehold.Pro platform — including its design, software, features, branding, and content produced by us — are owned by or licensed to Freehold.Pro Limited. Nothing in these terms transfers any intellectual property rights to you.

You may not copy, reproduce, distribute, or create derivative works from any part of the platform without our prior written consent.

Third Party Services

Freehold.Pro uses the following third party services to deliver and operate the platform. By using Freehold.Pro, you acknowledge that your data may be processed by these providers in accordance with their own privacy policies:

  • Supabase — database infrastructure and authentication
  • Google — authentication services and infrastructure
  • Mailgun — transactional email delivery

We take reasonable steps to ensure that all third party providers process data securely and in compliance with applicable law. However, we are not responsible for the practices of third party providers beyond our reasonable control.

Availability and Platform Changes

We aim to make Freehold.Pro available at all times but we do not guarantee uninterrupted access. The platform may be unavailable due to scheduled maintenance, technical issues, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any part of the platform at any time. Where possible, we will provide reasonable notice of significant changes. We will not be liable to you for any modification, suspension, or discontinuation of the platform or any feature.

The platform is provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Suspension and Termination

We reserve the right to suspend or terminate your account at any time if we reasonably believe that you have breached these terms, have acted in a way that may cause harm to other users or to the platform, or where we are required to do so by law.

Where possible, we will give you prior notice and an opportunity to address any concern before taking action. In cases of serious or repeated breach, we may act immediately without notice.

You may close your account at any time by contacting us at info@freehold.pro. On closure, we will handle your data in accordance with our Privacy Policy.

Limitation of Liability

To the fullest extent permitted by law, Freehold.Pro Limited shall not be liable for:

  • Any indirect, consequential, special, or incidental loss arising from your use of the platform
  • Loss of data, profits, revenue, or business opportunity
  • Any decisions made by you or your building management company based on information accessed through the platform
  • Any failure of a building to meet its legal compliance obligations
  • Any disputes between users, residents, directors, or managing agents

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

Our total aggregate liability to you for any claim arising out of or in connection with these terms or your use of the platform shall not exceed the total fees paid by you to Freehold.Pro Limited in the twelve months preceding the claim, or £100 where no fees have been paid.

Data Protection

Freehold.Pro Limited processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Full details of how we collect, use, store, and protect your personal data are set out in our Privacy Policy.

By using the platform you confirm that you have read and understood our Privacy Policy.

Changes to These Terms

We may update these Terms and Conditions from time to time. When we make material changes, we will notify you by email or by displaying a prominent notice within the platform. The date at the top of this page will always reflect when the terms were last updated.

Your continued use of Freehold.Pro after any changes take effect constitutes your acceptance of the updated terms. If you do not agree with the updated terms, you must stop using the platform and close your account.

Governing Law and Disputes

These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, subject to any mandatory rights you may have as a consumer under the laws of another jurisdiction.

Before bringing any formal legal proceedings, we encourage you to contact us at info@freehold.pro so that we can attempt to resolve any dispute informally.
